Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Medisight, Inc. ("Medisight," "we," "us," or "our"). By creating an account, signing in, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement. If you are under 18, you may not use the Services.

The Services are currently intended for users located in the United States. We make no representation that the Services are appropriate or available in other jurisdictions. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

3. Description of Services

Medisight provides an AI-powered diagnostics platform that analyzes laboratory and biomarker data to generate personalized health insights. The Services include, but are not limited to:

• Analysis of blood test results and biomarker data using proprietary AI models
• Generation of personalized health insight reports
• Trend analysis and longitudinal tracking of user-submitted health data
• Reference to peer-reviewed medical literature relevant to your results

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

4. Accounts & Registration

To access the Services, you must create an account. You may register using Google Sign-In ("Sign in with Google"), in which case your Google account credentials govern your authentication. You are responsible for maintaining the confidentiality of your account and any activity that occurs under it.

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Notify us immediately at contact@medisight.ai if you suspect unauthorized access to your account
• Not share your account with or transfer it to any other person
• Not create more than one account per individual or misrepresent your identity

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in any fraudulent or abusive activity.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to provide medical advice, diagnosis, or treatment to yourself or any third party as a substitute for consultation with a licensed healthcare professional
• Submit false, misleading, or fabricated health data
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services or our AI models
• Scrape, crawl, or systematically collect data from the Services without our express written permission
• Use the Services to train, benchmark, or develop a competing AI product or service
• Attempt to gain unauthorized access to any portion of the Services, or any systems or networks connected to the Services
• Transmit any malware, viruses, or other malicious code
• Violate any applicable law or regulation, including healthcare privacy laws such as HIPAA where applicable
• Harass, abuse, or harm another person or entity
• Upload or share content that is unlawful, defamatory, obscene, or infringes on any third party's rights

We reserve the right to investigate violations and take appropriate action, including removing content, suspending accounts, and referring matters to law enforcement.

6. Health & Medical Disclaimer

The Services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician, specialist, or other qualified healthcare provider with any questions you may have regarding a medical condition or your health data. Never disregard professional medical advice or delay seeking it because of something you have read or received through the Services.

In the event of a medical emergency, call your local emergency services (e.g., 911 in the United States) immediately. Do not use the Services to seek emergency assistance.

Medisight does not guarantee that insights generated by the Services are complete, accurate, or current. Medical knowledge evolves rapidly, and results should always be interpreted in the context of your full clinical picture by a licensed professional.

7. AI Limitations & Accuracy

Our Services are powered by artificial intelligence and machine learning models. You acknowledge and agree that:

• AI-generated insights may contain errors, inaccuracies, or omissions, even when our systems report high confidence levels.
• Model outputs are probabilistic in nature and are not guarantees of any particular health outcome.
• The accuracy of insights depends on the quality, completeness, and accuracy of the data you provide. Inaccurate or incomplete input data may produce unreliable results.
• AI models are trained on historical data and may not reflect the most current medical research or guidelines.
• No AI system, including Medisight, can replace the judgment of a qualified healthcare professional who has examined you in person.

We continually work to improve our models and disclaim liability for decisions made in reliance on AI-generated outputs. See Section 13 and Section 14.

8. User Content & Data

Your ownership: You retain ownership of all personal information, health data, and other content you submit to the Services ("User Content"). We do not claim ownership of your User Content.

License to Medisight: By submitting User Content, you grant Medisight a limited, worldwide, non-exclusive, royalty-free license to access, store, process, and analyze your User Content solely for the purpose of providing and improving the Services. This license terminates when you delete your User Content or close your account, subject to our data retention practices described in the Privacy Policy.

Aggregated data: We may use de-identified, aggregated data derived from User Content to improve our AI models, conduct research, and generate statistical reports. This data cannot be used to re-identify you.

Your responsibility: You represent and warrant that you have the right to submit all User Content, that it does not violate any third-party rights, and that it is accurate to the best of your knowledge. Do not submit health data that belongs to another person without their explicit consent.

9. Intellectual Property

All content, features, and functionality of the Services — including but not limited to the Medisight name and logo, AI models, software, text, graphics, user interface, and the selection and arrangement thereof — are owned by Medisight, Inc. and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Copy, modify, or create derivative works based on the Services
• Use any data mining, robots, or similar data extraction methods on the Services
• Download or copy any portion of the Services for the benefit of a competitor
• Use the Medisight name, logo, or brand without our prior written consent

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Medisight without restriction or compensation to you.

10. Third-Party Services

The Services integrate with or may link to third-party services, including:

• Google LLC — for authentication (Sign in with Google) and analytics. Your use is subject to Google's Terms of Service.
• Calendly, Inc. — for demo scheduling. Subject to Calendly's Terms of Use.
• Cookiebot (Usercentrics) — for cookie consent management.

We are not responsible for the content, privacy practices, or terms of any third-party service. Links to third-party websites do not constitute our endorsement of those sites. We encourage you to review the terms and privacy policies of any third-party services you use in connection with the Services.

11. Fees & Payment

Certain features of the Services may be offered on a paid subscription or enterprise licensing basis. If you purchase a paid plan:

• Fees are as described on our pricing page or in your enterprise agreement at the time of purchase.
• All fees are in U.S. dollars and are non-refundable except as required by law or expressly stated in your agreement.
• We reserve the right to change pricing with reasonable notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
• Failure to pay any fees when due may result in suspension or termination of your access to paid features.

Free-tier access (if available) is provided as-is with no service-level commitments and may be modified or discontinued at any time.

12. Termination

By you: You may terminate your account at any time by contacting us at contact@medisight.ai or by using the account deletion feature in the platform settings. Upon termination, your right to use the Services immediately ceases.

By Medisight: We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Services.

Effect of termination: Upon termination for any reason, the following Sections survive: 8 (User Content — aggregated data license), 9 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 16 (Governing Law). We will handle your personal data following termination in accordance with our Privacy Policy.

13. Disclaimers of Warranty

To the fullest extent permitted by applicable law, Medisight disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any AI-generated insight, report, or recommendation
• Any warranty that results obtained from using the Services will be accurate, reliable, or suitable for any clinical, diagnostic, or treatment purpose

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDISIGHT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• DAMAGES ARISING FROM LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM YOUR RELIANCE ON ANY AI-GENERATED INSIGHT, REPORT, OR RECOMMENDATION FOR ANY MEDICAL, CLINICAL, OR HEALTH DECISION
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• DAMAGES ARISING FROM ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES

IN NO EVENT SHALL MEDISIGHT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MEDISIGHT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the legal theory under which such damages are sought (contract, tort, statute, or otherwise) and even if Medisight has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Medisight, Inc. and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your User Content, including any claim that your User Content infringes or misappropriates any third-party right
• Any medical or health decision you make based on AI-generated outputs from the Services

We reserve the right to assume exclusive control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be subject to binding arbitration administered by a mutually agreed arbitration body under its then-current rules, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Informal resolution first: Before initiating any formal proceeding, you agree to contact us at contact@medisight.ai and provide a written description of the dispute. We will attempt to resolve the matter informally within 30 days.

Class action waiver: To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Medisight.

Statute of limitations: Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action arose, or it is permanently barred.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or by a notice within the Services.

Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may close your account.
